Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for provision of the Service and the rights and obligations between the Site and registered users. Please read these Terms in their entirety before using the Service, as you must agree to these Terms to use the Service.

Article 1 (Application)

1. These Terms are intended to set forth the conditions for provision of the Service and the rights and obligations between the Site and registered users in relation to the use of the Service, and shall apply to all relationships between registered users and the Site concerning the use of the Service.

2. The Site may establish various rules (hereinafter referred to as "Individual Provisions") regarding the Service in addition to these Terms. Regardless of their name, such Individual Provisions shall constitute a part of these Terms.

3. If the provisions of these Terms conflict with the Individual Provisions of the preceding article, the provisions of the Individual Provisions shall prevail unless otherwise specified in the Individual Provisions.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings set forth below:

  • (1) "Service Use Agreement" means the agreement for the use of the Service concluded between the Site and a registered user with these Terms as the contractual conditions.
  • (2) "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including rights to obtain or apply for registration of such rights).
  • (3) "Posted Data" means content (including but not limited to text, images, videos, and other data) posted or otherwise transmitted by registered users through the Service.
  • (4) "The Site" means the website whose domain is "syn9.jp" (including any website after changes to the domain or content, regardless of the reason for such changes).
  • (5) "Registered User" means an individual or corporation registered as a user of the Service pursuant to Article 3 (Registration).
  • (6) "The Service" means the service named "Syn9" provided by the Site (including the service after any changes to the name or content, regardless of the reason for such changes).

Article 3 (Registration)

1. Any person who wishes to use the Service (hereinafter referred to as "Applicant") may apply for registration to use the Service by agreeing to comply with these Terms and providing certain information as designated by the Site (hereinafter referred to as "Registration Information") to the Site in the manner designated by the Site.

2. The Site will determine whether to accept an application for registration submitted pursuant to paragraph 1 above (hereinafter referred to as "Registration Applicant") in accordance with the Site's criteria, and if the Site approves the registration, it will notify the Registration Applicant to that effect. Registration of the Registration Applicant as a Registered User shall be deemed complete upon the Site's notification under this paragraph.

3. Upon completion of registration as provided in the preceding paragraph, a Service Use Agreement shall be established between the Registered User and the Site, and the Registered User may use the Service in accordance with these Terms.

4. The Site may refuse registration or re-registration if the Registration Applicant falls under any of the following circumstances, and shall have no obligation to disclose the reasons therefor:

  • (1) If any part of the Registration Information provided to the Site is false, erroneous, or incomplete
  • (2) If the applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of a legal representative, guardian, curator, or assistant
  • (3) If the Site determines that the applicant is an antisocial force (meaning a gang, gang member, right-wing organization, antisocial force, or similar), or is involved in any way with an antisocial force through the provision of funds or otherwise
  • (4) If the Site determines that the applicant has previously violated a contract with the Site or is associated with such a person
  • (5) If the applicant has been subject to the measures set forth in Article 10
  • (6) If the Site otherwise determines that registration is not appropriate

Article 4 (Changes to Registration Information)

If there are any changes to the Registration Information, Registered Users shall promptly notify the Site of such changes in the manner designated by the Site.

Article 5 (Management of Passwords and User IDs)

1. Registered Users shall manage and store their passwords and user IDs for the Service at their own responsibility, and shall not allow any third party to use, lend, transfer, change the name of, or sell such passwords or user IDs.

2. Registered Users shall bear responsibility for any damage resulting from inadequate management, errors in use, or use by third parties of passwords or user IDs.

Article 6 (Fees and Payment Methods)

1. Registered Users shall pay the usage fees separately determined by the Site and displayed on the Site as consideration for using the Service, in the payment method designated by the Site.

2. If a Registered User is late in paying usage fees, the Registered User shall pay to the Site a late payment penalty at the rate of 14.6% per annum.

Article 7 (Prohibited Acts)

Registered Users shall not engage in any of the following acts or acts that the Site determines fall under the following categories when using the Service:

  • (1) Acts that violate laws or regulations, or acts related to criminal activity
  • (2) Acts of fraud or intimidation against the Site, other users of the Service, or other third parties
  • (3) Acts contrary to public order and morals
  • (4) Acts that infringe on the intellectual property rights, portrait rights, privacy rights, reputation, or other rights or interests of the Site, other users of the Service, or other third parties
  • (5) Transmitting through the Service information that falls under or is determined by the Site to fall under any of the following categories to the Site or other users of the Service:
  • · Information containing excessively violent or cruel expressions
  • · Information containing computer viruses or other harmful computer programs
  • · Information containing expressions that damage the reputation or credibility of the Site, other users of the Service, or other third parties
  • · Information containing excessively obscene expressions
  • · Information containing expressions that promote discrimination
  • · Information containing expressions that promote suicide or self-harm
  • · Information containing expressions that promote inappropriate use of drugs
  • · Information containing antisocial expressions
  • · Information that requests the spread of information to third parties, such as chain mail
  • · Information containing expressions that cause discomfort to others
  • (6) Acts that place an excessive load on the network or systems of the Service
  • (7) Reverse engineering or other analysis of the software or other systems provided by the Site
  • (8) Acts that may interfere with the operation of the Service
  • (9) Unauthorized access to the network or systems of the Site
  • (10) Impersonating another person
  • (11) Using the ID or password of another user of the Service
  • (12) Advertising, promotion, solicitation, or business activities on the Service without prior approval from the Site
  • (13) Collecting information about other users of the Service
  • (14) Acts that cause disadvantage, damage, or discomfort to the Site, other users of the Service, or other third parties
  • (15) Acts that conflict with the rules for using the Service posted on the Site (https://syn9.jp/privacy-policy)
  • (16) Providing benefits to antisocial forces
  • (17) Acts aimed at meeting strangers of the opposite sex
  • (18) Acts that directly or indirectly cause or facilitate any of the preceding items
  • (19) Attempting any of the preceding items
  • (20) Any other acts that the Site determines to be inappropriate

Article 8 (Suspension of the Service)

The Site may suspend or interrupt all or part of the Service without prior notice to Registered Users if any of the following circumstances apply:

  • (1) When emergency maintenance or inspection of computer systems related to the Service is required
  • (2) When the Service becomes inoperable due to computer or communication line failures, erroneous operation, excessive access, unauthorized access, hacking, or similar causes
  • (3) When the Service becomes inoperable due to force majeure such as earthquakes, lightning strikes, fires, floods, power outages, or natural disasters
  • (4) When the Site otherwise determines that suspension or interruption is necessary

Article 9 (Ownership of Rights)

1. All intellectual property rights related to the Site and the Service belong to the Site or to those who have licensed the Site, and the permission to use the Service under these Terms does not mean permission to use the intellectual property rights of the Site or those who have licensed the Site with respect to the Site or the Service.

2. Registered Users represent and warrant to the Site that they have the legal right to post or otherwise transmit Posted Data, and that such Posted Data does not infringe the rights of any third party.

3. Registered Users grant to the Site a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform Posted Data. Registered Users also grant to other Registered Users a non-exclusive license to use, reproduce, distribute, create derivative works of, display, and perform Posted Data posted or otherwise transmitted by Registered Users through the Service.

4. Registered Users agree not to exercise moral rights against the Site or persons who have inherited or been licensed rights from the Site.

Article 10 (Cancellation of Registration)

1. If a Registered User falls under any of the following circumstances, the Site may, without prior notice or demand, delete or hide Posted Data, temporarily suspend the Registered User's use of the Service, or cancel the Registered User's registration:

  • (1) If the Registered User violates any provision of these Terms
  • (2) If it is found that any Registration Information contains false facts
  • (3) If the Registered User suspends payments or becomes insolvent, or if a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or similar proceedings
  • (4) If the Service has not been used for 6 months or more
  • (5) If there is no response for 30 days or more to inquiries or other communications from the Site requesting a response
  • (6) If any of the items in Article 3, paragraph 4 apply
  • (7) If the Site otherwise determines that continued use of the Service or registration as a Registered User is not appropriate

2. If any of the circumstances set forth in the preceding paragraph apply, the Registered User shall automatically lose the benefit of time with respect to all debts owed to the Site and shall immediately pay all debts to the Site.

Article 11 (Withdrawal)

1. Registered Users may withdraw from the Service and cancel their registration as Registered Users by completing the procedures prescribed by the Site.

2. If the Registered User has any outstanding debts to the Site at the time of withdrawal, the Registered User shall automatically lose the benefit of time with respect to all such debts and shall immediately pay all debts to the Site.

3. The handling of user information after withdrawal shall be governed by the provisions of Article 15.

Article 12 (Changes to and Termination of the Service)

1. The Site may change the content of the Service or terminate its provision at the Site's discretion.

2. If the Site terminates provision of the Service, the Site shall notify Registered Users in advance.

Article 13 (Disclaimer of Warranties and Limitation of Liability)

1. The Site makes no warranty, express or implied, that the Service is suitable for any particular purpose of Registered Users, has the expected functionality, commercial value, accuracy, or usefulness, that the use of the Service by Registered Users complies with applicable laws and regulations or internal rules of industry organizations, that the Service will be continuously available, or that no defects will occur.

2. The Site shall not be liable for any damages suffered by Registered Users in connection with the Service in excess of the amount paid by the Registered User to the Site during the past 12 months, and shall not be liable for any incidental, indirect, special, future, or lost profit damages.

3. Transactions, communications, and disputes arising between Registered Users and other Registered Users or third parties in connection with the Service or the Site shall be resolved at the Registered User's own responsibility.

Article 14 (Confidentiality)

Registered Users shall keep confidential any non-public information disclosed by the Site to Registered Users in connection with the Service that the Site requires to be kept confidential, unless the Site has given prior written consent.

Article 15 (Handling of User Information)

1. The handling of Registered Users' user information by the Site shall be governed by the Site's separately established Privacy Policy (https://syn9.jp/privacy-policy), and Registered Users agree to the handling of their user information by the Site in accordance with such Privacy Policy.

2. The Site may use and disclose information and data provided by Registered Users to the Site as statistical information in a form that does not identify individuals, at the Site's discretion, and Registered Users shall not object to this.

Article 16 (Changes to these Terms)

The Site may change these Terms when it deems it necessary. When changing these Terms, the Site will notify Registered Users of the effective date and content of the revised Terms through display on the Site or other appropriate means. However, in the case of changes that require user consent under applicable laws and regulations, the Site shall obtain the consent of Registered Users through the method prescribed by the Site.

Article 17 (Contact / Notices)

1. Inquiries and other communications or notices from Registered Users to the Site regarding the Service, and communications or notices from the Site to Registered Users regarding changes to these Terms and other matters, shall be made in the manner prescribed by the Site.

2. When the Site sends a communication or notice to an email address or other contact information included in the Registration Information, the Registered User shall be deemed to have received such communication or notice.

Article 18 (Transfer of Rights and Obligations under the Service Use Agreement)

1. Registered Users may not transfer, assign, create security interests over, or otherwise dispose of their position under the Service Use Agreement or their rights or obligations under these Terms to any third party without the prior written consent of the Site.

2. If the Site transfers its business related to the Service to another company, the Site may transfer its position under the Service Use Agreement, its rights and obligations under these Terms, and Registered Users' Registration Information and other customer information to the transferee of such business transfer, and Registered Users hereby consent in advance to such transfer. The business transfer referred to in this paragraph shall include not only ordinary business transfers but also company splits and any other cases in which the business is transferred.

Article 19 (Severability)

Even if any provision of these Terms or a part thereof is found to be invalid or unenforceable under the Consumer Contract Act or other applicable laws and regulations, the remaining provisions of these Terms and the remaining portions of the provision found to be partially invalid or unenforceable shall continue in full force and effect.

Article 20 (Governing Law and Jurisdiction)

1. These Terms and the Service Use Agreement shall be governed by the laws of Japan.

2. Any and all disputes arising out of or in connection with these Terms or the Service Use Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
